At ezyWebsites, we believe in keeping things simple and transparent.

Our subscription service allows you to enjoy a professionally designed and managed website without a large upfront investment.

Unlike a traditional website project that requires a significant upfront development fee, we spread the cost of designing and building your website across your 36-month subscription term. This allows you to get a professional website while keeping your initial costs low, with ongoing hosting, maintenance, and support included.

These Terms explain how our service works and what you can expect from us.

• Your subscription includes the initial design and build of your website, together with ongoing hosting, maintenance, software updates, security monitoring, backups, and technical support.

• During the first 36 months, ezyWebsites retains ownership of the website files while the cost of designing and building your website is recovered through your subscription.
• If you cancel within the first 36 months and would like to take your website to another provider, simply pay the remaining balance of your 36-month subscription term. We’ll then provide your website files and database.
• After completing 36 months of continuous active subscription, ownership of your website files transfers to you at no additional cost if you decide to cancel.

The full Terms of Service below form the agreement between you and ezyWebsites.

1. Website build & development

As part of your subscription, we will design and build a website of approximately 6–10 pages, depending on your subscription plan.

Your website includes:

• Custom website design
• Mobile-friendly layout
• Contact forms and standard website functionality
• Up to 10 standard pages
• One round of reasonable revisions before launch

Additional pages may be added at any time for $225 per page.

We aim to complete your website within six weeks of receiving all required content, including your logo, images, written content, and any other information necessary to complete the project.

If you do not already have a logo, a simple text-based logo can be provided as part of your website setup. Professional logo design services are available separately if required.

All text, images, logos, and other content you provide remain your property. You are responsible for ensuring you have permission to use any material supplied to us.

2. Subscription & ownership

Your subscription

Your subscription includes:

• Initial website design and development
• Website hosting
• Website maintenance
• Software updates
• Security monitoring
• Regular backups
• Technical support
• Ongoing SEO improvements and website optimisation

SEO

SEO is an ongoing process and results can vary depending on many factors, including search competition, industry, location, website content, and changes made by search engines.

While we take reasonable steps to improve your website’s visibility and search performance, we do not guarantee specific rankings, traffic levels, or search results.

Subscription term

Your subscription is based on a 36-month term. You may choose to pay monthly or annually. Your chosen billing frequency does not change the length of the 36-month subscription term.

Website ownership

You may cancel your subscription at any time.

You always retain ownership of the content you provide, including your text, images, logos, and branding.

During the first 36 months of your subscription, the website files, database, custom website design, and other custom assets created specifically for your website remain the property of ezyWebsites.

If you cancel within your 36-month term and would like to move your website to another provider, you may do so by paying the remaining balance of your 36-month subscription term.

Once the remaining balance has been paid in full, we will provide a complete backup of your website files and database, and ownership of the custom website files will transfer to you.

After completing 36 months of continuous active subscription, ownership of your custom website files, database, and website design transfers to you automatically at no additional cost if you choose to cancel.

3. Domain names

Your domain name always remains your property.

If your domain name is registered through ezyWebsites, we will manage renewals on your behalf.

If you manage your own domain, you are responsible for renewing it before it expires. Failure to renew may result in website downtime or permanent loss of the domain name.

Your domain name can be transferred to another provider at any time upon request.

4. Hosting

Website hosting is included as part of your subscription.

We use reputable third-party providers and take reasonable steps to provide a secure and reliable hosting environment.

Although we strive to provide uninterrupted service, downtime may occasionally occur due to circumstances outside our reasonable control, including:

• Server outages
• Internet disruptions
• Cyberattacks
• Malware
• Hardware failures
• Third-party service interruptions

If malicious activity is detected, our hosting provider may temporarily suspend your website while the issue is investigated and resolved.

Email hosting must not be used for spam, phishing, illegal content, or malicious activity. Breaches may result in immediate suspension of services.

5. Payments & billing

• All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless otherwise stated.
• Subscription payments are processed securely through Stripe using your chosen payment method.
• Your subscription may be billed monthly or annually, depending on the plan you choose.
• Monthly subscriptions are charged on a pro rata basis for the first billing period, then automatically charged on the first day of each month.
• Annual subscriptions are charged on the sign-up date each year.

If a scheduled subscription payment is unsuccessful:

• We will notify you.
• We will automatically retry payment after three days where applicable.
• If payment remains outstanding, we may contact you directly.
• We reserve the right to suspend services until outstanding amounts have been paid.

You may cancel your subscription at any time.

Any prepaid subscription fees covering periods after your cancellation date will be refunded, less any outstanding amounts payable under these Terms.

6. Cancellation & website transfer

To cancel your subscription, please provide at least 14 days’ written notice.

At the end of the notice period:

• Website hosting will end.
• Email hosting will end.
• Website maintenance and updates will cease.
• Backups and technical support will cease.

Taking your website with you

If you cancel during your first 36 months, you have two options.

Option 1 – End your subscription

• Your subscription ends.
• No further subscription payments are required.
• The website files remain the property of ezyWebsites.

Option 2 – Take your website to another provider

• Pay the remaining balance of your 36-month subscription term.
• We will provide a complete backup of your website files and database.
• Ownership of your custom website files transfers to you.

We are not responsible for transferring, configuring, migrating, or uploading your website to another hosting provider.

Once your website has been transferred, you become responsible for all future costs associated with operating your website, including:

• Website hosting
• Domain registration and renewals
• SSL certificates
• Premium plugins
• Third-party software subscriptions
• Ongoing maintenance and support

7. Intellectual property

You retain ownership of all content you provide, including your text, images, logos, branding, and other materials.

Until ownership transfers under Section 2, ezyWebsites retains ownership of the custom website files, database, website design, templates, and other custom assets created specifically for your website.

Nothing in these Terms transfers ownership of any third-party software, plugins, themes, or other licensed products, which remain subject to their respective licence agreements.

We will treat your information as confidential and use it only for the purpose of designing, hosting, maintaining, and supporting your website.

8. Limitation of liability

While we aim to provide a reliable service, we cannot guarantee uninterrupted operation at all times.

To the maximum extent permitted by New Zealand law:

• ezyWebsites is not liable for indirect or consequential losses, including loss of profits, business interruption, or loss of data.
• We are not responsible for failures caused by third-party providers or events beyond our reasonable control.
• Our total liability for any claim relating to our services is limited to the amount paid for your subscription during the preceding one-month period.

9. Changes to these terms

We may update these Terms of Service from time to time.

Where changes materially affect your rights or obligations, we will provide at least 30 days’ notice.

Your continued use of our services after the updated Terms take effect constitutes acceptance of those changes.

10. Governing law

These Terms are governed by the laws of New Zealand.

Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of New Zealand.
